By participating in campaigns through CollaBeauty and creating content ("Content") as part of such campaigns, you ("Creator") hereby grant to the campaign brand partner ("Brand") a perpetual, irrevocable, worldwide, royalty-free, non-exclusive, transferable, and sublicensable license to use, reproduce, distribute, prepare derivative works of, display, and perform the Content in connection with the Brand's business and marketing activities.

This license includes, but is not limited to, the right to use the Content in all media formats and channels now known or hereafter developed, including but not limited to:

• Social media platforms (Instagram, TikTok, Facebook, Twitter, YouTube, etc.)
• Brand websites and online stores
• Email marketing and newsletters
• Digital and print advertising
• Product packaging and promotional materials
• In-store displays and point-of-sale materials
• Trade shows, presentations, and corporate communications

While the Creator retains copyright ownership of the original Content, the Creator acknowledges and agrees that:

• The Brand may use the Content without providing attribution or credit to the Creator, unless otherwise agreed in writing
• The Brand may edit, modify, crop, or alter the Content as needed for its marketing purposes
• The Brand may combine the Content with other materials, including text, graphics, and other media
• The Creator waives any moral rights to the extent permitted by applicable law

The Creator represents and warrants that:

• The Creator has full right, power, and authority to grant the rights set forth in this Agreement
• The Content is original work of the Creator and does not infringe upon any third-party intellectual property rights
• The Content does not violate any applicable laws or regulations
• The Creator has obtained all necessary rights, licenses, consents, and permissions for any third-party materials included in the Content
• The Content does not contain defamatory, libelous, or otherwise unlawful material
• All individuals appearing in the Content have provided proper consent for their likeness to be used

The Creator acknowledges that the compensation provided for participation in the campaign (whether monetary payment, free products, or other consideration) includes full payment for:

• The creation of the Content
• All rights granted to the Brand under this Agreement
• Any future use of the Content by the Brand

No additional compensation is required for any use of the Content by the Brand, regardless of the duration, frequency, or medium of such use.

The license granted herein is perpetual and irrevocable. The Brand's right to use the Content continues indefinitely, even after:

• The campaign has concluded
• The Creator's relationship with CollaBeauty has ended
• The Creator's social media accounts are deleted or deactivated

The Creator cannot revoke or terminate this license once granted, except as may be required by applicable law.

Unless otherwise specified in the campaign requirements:

• The Creator agrees to maintain the Content on their social media channels for a minimum period as specified in the campaign requirements
• The Creator may not delete or remove the Content before the agreed minimum posting period without prior written consent from the Brand
• The Brand's rights to use the Content continue indefinitely, regardless of whether the Creator removes the Content from their own channels

The Brand has the unlimited right to:

• Edit, modify, adapt, or reformat the Content in any way
• Add text, graphics, music, or other elements to the Content
• Translate the Content into other languages
• Use portions or excerpts of the Content
• Create derivative works based on the Content
• Combine the Content with other user-generated content or brand materials

The Creator waives any right to approve or review such modifications.

The Creator agrees to indemnify, defend, and hold harmless CollaBeauty, the Brand, and their respective officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Any breach of the Creator's representations and warranties
• Any third-party claims related to the Content
• Any infringement of intellectual property rights
• Any violation of applicable laws or regulations

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• CollaBeauty makes no warranties regarding how the Brand will use the Content
• CollaBeauty is not responsible for the Brand's use or misuse of the Content
• The Creator releases CollaBeauty from any claims related to the Brand's use of the Content
• CollaBeauty's maximum liability for any claims related to this Agreement shall not exceed the compensation paid to the Creator for the specific campaign

The Creator retains the right to:

• Display the Content in their portfolio, showreel, or demo reel
• Use the Content to promote their own services as a content creator
• Maintain the Content on their own social media channels

However, the Creator may not license or sell the Content to any third party that competes with the Brand or its products/services.

This Agreement shall be governed by and construed in accordance with the laws of South Korea, without regard to its conflict of law principles.

Any disputes arising out of or in connection with this Agreement shall be resolved through:

• Good-faith negotiation between the parties
• Mediation, if negotiation fails
• The exclusive jurisdiction of the courts of South Korea

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

This Agreement, together with CollaBeauty's Terms of Service, constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior agreements and understandings.

By checking the "I agree" box when applying to a campaign, you acknowledge that:

• You have read and understood this Content License Agreement
• You have had the opportunity to seek independent legal advice
• You voluntarily agree to be bound by the terms of this Agreement
• You understand that this Agreement grants broad rights to the Brand to use your Content
• You accept that these rights are irrevocable and perpetual
